Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vachan mobile application, the websites vachanapp.com and m.vachanapp.com, and any related services (collectively, the "Service"). By creating an account or using the Service you agree to these Terms.
The Service is operated by MysticPeaks ("we", "us", "Vachan").
1. Eligibility
- You must be at least 18 years old.
- You must have the legal capacity to enter into a contract under Indian law.
- You must use the Service for a lawful business purpose. The Service is designed for B2B credit between traders, not for consumer lending, money-lending as a profession, or any activity requiring a separate licence.
2. Your account
You sign up using a verified mobile number. You are responsible for everything that happens on your account, including any users (shop members) you invite. Keep your phone and OTPs secure. Notify us promptly if you suspect unauthorised access.
3. What Vachan is — and isn't
Vachan is a record-keeping tool. We:
- Do not lend money or extend credit to anyone.
- Do not hold, transfer, or process payments. Money moves outside the App (cash, UPI, bank transfer, cheque), and you record it in Vachan after the fact.
- Do not guarantee that a counterparty will pay what they owe.
- Do not act as a recovery agent. We do not pursue defaulters on your behalf.
- Do not verify the legality of the underlying trade. Disputes about goods, services, quality, or amounts are between you and your counterparty.
The IOUs you record are between your shop and the counterparty's shop. Vachan's records may serve as evidence of an agreement, but enforcement is your responsibility.
4. Your responsibilities
4.1 Accuracy
You are responsible for the accuracy of every transaction, payment, and counterparty record you create. Do not enter false amounts, fabricate transactions, or impersonate another business.
4.2 Acceptable use
You agree not to:
- Use the Service to harass, threaten, intimidate, or defame any person or business.
- Send reminders for fake debts, or use the reminder system as a tool of harassment.
- Attempt to circumvent the built-in reminder cooldowns or rate limits.
- Upload images that are illegal, obscene, or that infringe a third party's rights.
- File false community credit reports against another party.
- Reverse-engineer, decompile, or attempt to extract source code from the App.
- Use automated scripts, bots, or scrapers to interact with the Service.
- Use the Service for money-lending as a profession unless you hold the appropriate licence.
4.3 Counterparty data
When you add a counterparty by phone number, you are confirming that you have a genuine business relationship with them. Do not add random numbers, harvest contacts, or create speculative records.
5. Reputation and community reports
Vachan computes a credit reputation score for shops based on their observable payment behaviour. Community reports filed by users contribute to this score, subject to moderation.
- Reports must be factual, in good faith, and based on a real transaction.
- We may remove reports that we determine to be malicious, defamatory, or unsupported by evidence.
- Reputation scores are informational. They are not credit-bureau ratings and should not be used as the sole basis for any decision with legal consequences.
6. WhatsApp, SMS, and push notifications
By creating a transaction or using the reminder feature, you authorise Vachan to deliver messages (push, SMS, WhatsApp) to the counterparty's mobile number on your behalf. Such messages are sent only when you initiate them or when a system event (acceptance, payment) triggers them, and are subject to cooldowns to prevent abuse. You confirm that the counterparty consents to receiving such messages by virtue of the business relationship you have with them.
7. Fees
Vachan is currently free to use for the core ledger features. We may introduce paid features in the future; if we do, we will give you notice and you will not be charged for any feature you have not opted into.
8. Intellectual property
The Vachan name, logo, app design, code, and other materials are the property of the operator. You receive a limited, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose. You retain ownership of the trading data you upload, and you grant us a licence to use that data only to operate the Service for you.
9. Suspension and termination
We may suspend or terminate your account, with or without notice, if you breach these Terms, misuse the Service, or if we are required to do so by law.
10. Account deletion
You may request deletion of your Vachan account at any time. To do so, send an email to mysticpeaks.dev@gmail.com from any address and include:
- The mobile number registered with your Vachan account (in E.164 format, e.g.
+919876543210), so we can verify your identity and locate the correct account. - A brief confirmation that you want the account deleted.
We will acknowledge your request within 48 hours and complete deletion within 30 days. On deletion we remove your profile, shop, transactions, payments, receipt images, and reminder history. As described in the Privacy Policy, we may retain a minimal subset of data where required by law, tax obligations, or to prevent fraud — for example, records of disputed transactions or community reports that are still under review.
Note that data belonging to your counterparties (the other shop on a transaction) is not deleted from their ledger when you delete your account, since that data is also theirs.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost.
12. Limitation of liability
To the maximum extent permitted by law, Vachan and its operator, employees, and contractors will not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, goodwill, or business opportunity.
- Amounts a counterparty owes you but fails to pay.
- Loss of data caused by your own deletion or by force-majeure events.
Our aggregate liability for any claim arising out of or relating to the Service is limited to ₹10,000 (Indian Rupees Ten Thousand) or the amount you have paid us in the 12 months preceding the claim, whichever is greater.
13. Indemnity
You agree to indemnify and hold Vachan harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any third party's rights.
14. Governing law and dispute resolution
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts at e.g. Bengaluru.
Before commencing legal proceedings, both parties agree to attempt to resolve the dispute in good faith through written correspondence.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent change. Material changes will be notified in-app or by push. Continued use of the Service after a change constitutes acceptance of the revised Terms.
